Deputy General Counsel

Job Description

In this key leadership role, you will provide legal guidance across a broad range of business functions, ensuring compliance, managing risk, and supporting the company’s strategic initiatives. You will work closely with cross-functional teams, offering practical legal solutions that align with our business goals and regulatory obligations. This is an exciting opportunity to make a significant impact in a dynamic and fast-paced environment.

Key Responsibilities:

  • Contracting Legal Support:
    Partner with the Contracts Manager and Sales and Supply Chain teams to provide legal advice and oversight on commercial agreements. Ensure contracts align with company risk tolerance and strategic objectives. Develop tools and processes to streamline contract lifecycle management and ensure compliance.
  • Regulatory Risk & Compliance:
    Collaborate cross-functionally to identify, assess and develop strategies to mitigate regulatory risks. Keep abreast of changes in laws and regulations that may impact the company’s operations; assist in related policy and procedure development to ensure compliance.
  • Compliance Program:
    Design, implement, and maintain the company’s compliance program, including policies and procedures related to privacy, anti-corruption, and other regulatory areas. Lead compliance training and internal audits.
  • Strategic & Operational Support:
    Serve as a trusted advisor to the businesses on strategic initiatives and operational matters. Provide legal input on key business decisions and help resolve operational issues, as they arise.
  • Corporate Governance:
    Work with our Paralegal to ensure compliance with corporate governance matters for company subsidiaries. Promote adherence to governance best practices.
  • Dispute Resolution:
    Manage and resolve commercial and vendor disputes, including litigation and arbitration, in alignment with the company’s strategic goals.
  • Mergers & Acquisitions:
    Provide legal support for M&A activities, including due diligence, transaction execution, and post-deal integration.
  • Trade Controls:
    Advise the Trade Compliance team and business units on trade control matters. Help develop and implement risk management practices.

Qualifications:

  • Juris Doctor (J.D.) degree and active license to practice law in any U.S. state, territory, or the District of Columbia.
  • 10+ years of legal experience in corporate, regulatory or government settings.
  • Strong business acumen, excellent communication skills, and the ability to work collaboratively across teams.
